This End-User Licence Agreement (the “EULA”) is a binding agreement between you (“You”) and Mentesh Engineering(the “Licensor”, operated by GUY MENTESH LTD, Israeli company ח.פ. 517332896). By installing or using the software (the “Software”) you agree to be bound by it. If you do not agree, do not install the Software and request a refund per our Refund policy.
1. Licence grant
Subject to payment and continued compliance, the Licensor grants You a non-exclusive, non-transferable, non-sublicensable, revocable, worldwide licence to install and use the Software for personal or commercial audio-production work, on up to two (2) machines simultaneously, for the lifetime of the major version (v1.x). Updates within the same major version are included; upgrades to a new major version (v2.0+) are a separate paid product.
2. Permitted uses
You may use the Software to produce, mix, master, and distribute audio recordings in any commercial or non-commercial context, on platforms or media of any kind. No additional licence is required for music or media you create using the Software.
3. Prohibited uses
You shall not:
- copy, modify, or create derivative works of the Software, except as expressly permitted by mandatory local law;
- reverse engineer, decompile, or disassemble the Software, except where and to the extent that such activity is expressly permitted by applicable law (e.g. EU Software Directive 2009/24/EC Art 5(3) and 6) and only to the extent strictly necessary;
- rent, lease, lend, sublicense, sell, or otherwise transfer the Software or your licence key to any third party;
- circumvent or disable the licence-validation, activation, or copy-protection mechanisms of the Software;
- share your licence key publicly or with anyone outside the licensed user;
- use the Software for any unlawful purpose.
4. Activation, transfer, and revocation
The Software requires online activation against our licensing server on first install. Activation issues a signed token (90-day TTL) verified offline thereafter via embedded public key, with periodic background heartbeat. You may deactivate a machine at any time at me-plugins.com/account/licenses to free a slot for another machine. We reserve the right to revoke a licence on (a) refund, (b) chargeback, (c) confirmed breach of this EULA, including key sharing or activation-cap circumvention.
5. Trial
If a trial mode is offered, You may use it for the period stated on the trial download page (typically 14 days). At end-of-trial the Software enters “demo mode” (audio fades to silence at intervals) until a valid licence key is activated.
6. Third-party software
The Software incorporates third-party libraries, including:
- JUCE 8 framework (Raw Material Software Limited) — licensed to GUY MENTESH LTD under the JUCE Commercial Indie licence. The Software is distributed under the terms of that licence; no source-code disclosure obligation arises from JUCE.
- libsodium (ISC licence) — used for cryptographic verification of licence tokens.

7. Intellectual property
The Software and all related intellectual property, including the DSP source code, faceplate art, brand assets, captured measurement data, and documentation, remain the sole property of GUY MENTESH LTD. This EULA grants no ownership rights.
8. Updates
GUY MENTESH LTD may release updates within the v1.x major version at its discretion. Such updates may add, modify, or remove features. We endeavour not to remove documented features from a paid build, but reserve the right to do so when required for legal compliance, security, or fundamental architectural reasons. Major-version upgrades (v2.0+) are sold separately.
9. Warranty disclaimer
THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Some jurisdictions (notably the EU consumer regime and the Israeli Consumer Protection Law) do not allow the exclusion of certain warranties; in such jurisdictions, the disclaimers above apply only to the extent permitted by law.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL) ARISING OUT OF OR IN CONNECTION WITH THIS EULA OR THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LICENSOR’S TOTAL CUMULATIVE LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE LICENCE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
Nothing in this section limits liability that cannot be limited under applicable law, including liability for death, personal injury caused by negligence, fraud, or fraudulent misrepresentation.
11. Termination
This EULA terminates automatically upon (a) refund or chargeback, (b) breach by You of any provision herein, or (c) revocation of your licence key by us for cause. Upon termination You must uninstall and destroy all copies of the Software. Sections 3, 6, 7, 9, 10, and 12–14 survive termination.
12. Export control
The Software contains cryptographic functionality (libsodium) and may be subject to export-control regulations of Israel, the United States (e.g. 15 CFR 740.17 / TSU exception), and your jurisdiction. You agree not to export or re-export the Software in violation of any applicable embargo or sanction.
13. Governing law & jurisdiction
This EULA is governed by the laws of the State of Israel. The competent courts of Tel Aviv – Yafo have exclusive jurisdiction, subject to mandatory consumer-protection rules in your country of residence (which apply where they grant stronger protection).
14. General
This EULA, together with the Terms, Privacy, and Refund policies, constitutes the entire agreement between You and Mentesh Engineering with respect to the Software, and supersedes any prior or contemporaneous understanding. If any provision is held unenforceable, the remaining provisions remain in full force. Failure to enforce a provision is not a waiver. You may not assign this EULA; we may assign it freely to a successor.
